End-User License Agreement (EULA) · Effective date: March 25, 2026
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and WiseCost, Inc., a Delaware corporation (“WiseCost,” “we,” “us,” or “our”), governing your access to and use of the WiseCost platform, including all related software, services, and integrations (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
WiseCost provides a cloud-based workforce cost management platform designed for Government Contractors (GovCon). The Service includes time tracking, timesheet approval workflows, labor cost distribution, and direct integration with QuickBooks Online (“QBO”) for automated journal entry creation.
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
Subject to these Terms, WiseCost grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. You may not sublicense, sell, resell, transfer, assign, or otherwise exploit the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify WiseCost immediately of any unauthorized use of your account. WiseCost is not liable for any loss resulting from unauthorized account access.
The Service integrates with Intuit QuickBooks Online via OAuth 2.0. By connecting your QBO account, you authorize WiseCost to access, read, and write data to your QBO account as necessary to provide the Service. WiseCost is not affiliated with, endorsed by, or sponsored by Intuit Inc. You remain solely responsible for your QBO account and compliance with Intuit's terms of service.
WiseCost is designed to support Defense Contract Audit Agency (DCAA) compliance requirements. However, WiseCost does not guarantee that use of the Service ensures DCAA compliance. You are solely responsible for ensuring your organization's compliance with applicable regulations, including FAR, DFARS, and DCAA requirements.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process your data in accordance with applicable law and store it on servers located in the United States (AWS us-east-1).

The Service and all related intellectual property, including software, algorithms, user interfaces, and documentation, are owned by WiseCost, Inc. and protected by applicable intellectual property laws. WiseCost has filed patent applications covering certain features of the Service. Nothing in these Terms grants you any rights to WiseCost's intellectual property except as expressly stated.
Access to the Service may require a paid subscription. Subscription fees, billing cycles, and payment terms are specified in your Order Form or as displayed at the time of purchase. All fees are non-refundable unless otherwise required by law or expressly stated in writing by WiseCost.
Either party may terminate these Terms at any time. WiseCost may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. WiseCost will retain your data for 30 days after termination, after which it may be permanently deleted.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WISECOST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WISECOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL WISECOST'S TOTAL LIABILITY EXCEED THE FEES PAID BY YOU TO WISECOST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless WiseCost, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
WiseCost may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
